This article is a continuation from yesterday post entitled “How to Set up a Company with Thai shareholders that may be Deemed Nominees (1) ». As explained yesterday the biggest problem for non-American foreign investors in Thailand is that the sectors in which they prefer to invest (bars, restaurants, services etc…) are mostly reserved for Thais and foreign investors that can only take minority (49%) participation in companies’ actives in those sectors.

If you are familiar with the real estate market in Thailand you all have heard of the Chanot the mother of all land title in Thailand and also the safest title to be bought. Does it mean that if you purchased a property represented by a Chanot you will be safe? No, you will not be safe if your land title deed was not issued properly.

Once again Thailand did surprisingly good in the World Bank last survey of Ease of Doing Business ranking 3rd country in Asia and 17th in the world out of 183 and this despite all problems that have plagued it. The world bank ranking was established based on data collected at end of June 2011.

The VAT system was introduced in Thailand in 1992 that is to say at the same time than the Special Business Tax (SBT). In a nutshell most transactions (exchange of goods or services) that are occurring in Thailand are either subjected to VAT or to the SBT.The principle of VAT is simple, any business which having a turnover of more than 1,800,000 THB per annum, and that is not subject to the Special Business Tax, must register for VAT within 30 days of the date they reach 1,800,000 THB in sales.
